1. Acceptance of Terms

By accessing or using Molecule ("Service"), operated by Molecule Systems LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

Molecule is a business-to-business (B2B) software-as-a-service (SaaS) platform that provides scheduling, booking management, client management, and related tools for service businesses including but not limited to salons, spas, and clinics.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information
Maintain and update your information as needed
Keep your password secure and confidential
Accept responsibility for all activities under your account
Notify us immediately of unauthorized account use

You must be at least 18 years old to create an account.

4. Subscription and Payments

Access to certain features requires a paid subscription. By subscribing, you agree to:

Pay all fees associated with your selected subscription plan
Automatic renewal at the end of each billing period unless canceled
Provide valid payment information through our payment processor (Stripe)

Prices are subject to change with 30 days notice. Refunds are handled on a case-by-case basis at our discretion.

5. Fair Use Policy

Each subscription plan includes SMS and email allowances designed for typical business use. We reserve the right to monitor usage and take action against accounts that exceed fair use limits.

Acceptable Use

SMS and email features are intended for appointment-related communications including confirmations, reminders, and direct client communications. Usage must comply with all applicable laws including anti-spam regulations.

SMS Usage and Overages

Each plan includes a monthly SMS allowance. We will notify you when you reach 80% and 100% of your monthly limit.

Grace Period: For occasional busy months, we provide a grace period for small overages at no additional charge. This grace period resets each billing month.
Overage Charges: If you consistently exceed your plan limits, overages are billed at $0.02 USD per SMS message. You will always be notified before overage charges apply.
SMS Bundles: You may purchase additional SMS bundles at discounted rates: 500 SMS for $8, 1,500 SMS for $20, or 5,000 SMS for $60. Bundles do not expire and carry over between billing periods.

Emails are included for normal business use with no hard limits. We reserve the right to apply limits if we detect abuse patterns.

Prohibited Use

Sending bulk unsolicited messages or spam
Using automated systems to send messages beyond normal operations
Sharing accounts to circumvent usage limits
Any use that violates carrier policies or anti-spam laws

Enforcement

If we determine usage exceeds fair use limits, we may: (a) notify you and request you upgrade your plan or purchase SMS bundles; (b) charge overage fees as described above; (c) temporarily suspend messaging features; or (d) terminate your account for severe or repeated violations. We will make reasonable efforts to notify you before taking action except in cases of severe abuse.

6. User Responsibilities

You are responsible for:

All content and data you upload or transmit through the Service
Ensuring your use complies with applicable laws and regulations
Obtaining necessary consents from your clients for data collection
Maintaining appropriate security measures for your account
Your employees' and contractors' use of the Service under your account

7. Prohibited Conduct

You agree not to:

Use the Service for any illegal purpose
Violate any applicable laws or regulations
Infringe on intellectual property rights
Transmit malware, viruses, or harmful code
Attempt to gain unauthorized access to the Service
Interfere with or disrupt the Service's operation
Resell or redistribute the Service without authorization
Use automated systems to access the Service without permission

8. Intellectual Property

The Service, including its design, features, and content, is owned by Molecule Systems LLC and protected by intellectual property laws. You retain ownership of your data but grant us a license to use it to provide the Service.

You may not copy, modify, distribute, or create derivative works of the Service without our written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOLECULE SYSTEMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Molecule Systems LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account at any time through your account settings.

Upon termination, your right to use the Service ceases immediately. We may retain your data as required by law or for legitimate business purposes.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Denver, Colorado, and the arbitrator's decision shall be final and binding.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after such notice constitutes acceptance of the modified Terms.
